Position Overview
The Regional Head of Legal & Company Secretary provides strategic legal guidance, ensures robust corporate governance, and manages the legal and company secretarial functions for Ecobank Ghana. The role combines leadership, advisory, and operational oversight to drive the legal and governance agenda, supporting the Bank’s objectives and enabling sustainable business growth.
Key Responsibilities
Strategic Leadership
- Participate in defining the strategy and objectives of Ecobank Ghana.
- Align the Legal Department’s objectives with organizational goals.
- Develop a high-value legal function that delivers business-focused, customer-oriented solutions.
- Provide strategic legal advice to the Board, Senior Management, and other key stakeholders.
- Lead governance initiatives to ensure compliance with internal policies and regulatory requirements.
Legal Management
- Oversee all legal matters, including credit risk mitigation, litigation, and transactional support.
- Advise on mergers and acquisitions, contracts, risk management, and regulatory compliance.
- Identify and mitigate legal risks across the organization.
- Negotiate contracts, ensuring legal compliance and protection of the Bank’s interests.
- Develop and implement cost-saving measures while optimizing legal processes.
- Coach and develop the Legal team for high performance and professional growth.
Company Secretarial Duties
- Provide counsel to the Board on corporate governance and directors’ responsibilities.
- Manage statutory compliance, including filings with the Bank of Ghana, Ghana Stock Exchange, and SEC.
- Organize Board and committee meetings, prepare agendas, and record minutes.
- Maintain statutory records, including minutes, registers, and company books.
- Coordinate Annual General Meetings and other shareholder engagements.
Relationship Management
- Maintain strong internal and external stakeholder relationships.
- Serve as an effective member of the Executive Committee.
- Implement Service Level Agreements (SLAs) to ensure delivery of legal services across the organization.
- Liaise with external counsel and regulators on governance and legal matters.
Risk, Governance & Control
- Ensure compliance with corporate governance policies, internal controls, and regulatory requirements.
- Provide quarterly reports on pending lawsuits and governance matters to the Board.
Financial Management
- Develop and monitor the Legal Department budget.
- Ensure cost-effective management of governance-related expenditures.
Regional & Other Responsibilities
- Serve as Regional Company Secretary for the Anglophone West Africa Regional Committee.
- Support affiliates in the region on governance and legal matters.
- Perform other duties as reasonably assigned.
Qualifications & Experience
Education:
- Bachelor’s degree in Law; qualified Solicitor or Barrister.
- Postgraduate qualifications (MBA or LLM) are preferred.
Experience:
- Minimum 12 years of post-call experience, including a strong background in governance and legal frameworks.
- At least 5 years in a management position within financial services is preferred.
- Experience providing strategic legal advice to boards and senior management.
- Bilingual skills in English plus any of French or Portuguese is an advantage.
