Position Summary
VisionFund Ghana is seeking a highly skilled and ethical Lawyer & Company Secretary to provide legal counsel, ensure corporate governance compliance, and support the effective functioning of the Board and Executive Management. The successful candidate will safeguard the organization’s legal interests, ensure compliance with statutory and regulatory requirements, and promote best practices in corporate governance.

Key Responsibilities
- Provide legal advice and guidance to management on corporate, commercial, regulatory, and operational matters.
- Draft, review, negotiate, and manage contracts, agreements, policies, and other legal documents.
- Ensure compliance with the Companies Act, corporate governance principles, and all applicable legal and regulatory requirements.
- Serve as Secretary to the Board of Directors and Board Committees by coordinating meetings, preparing agendas, recording minutes, and following up on action items.
- Maintain statutory registers, corporate records, and governance documentation.
- Advise the Board and management on corporate governance best practices and regulatory developments.
- Liaise with regulators, external legal counsel, auditors, and other stakeholders on legal and governance matters.
- Monitor legal and regulatory risks and recommend appropriate mitigation measures.
- Support the development, implementation, and review of governance policies and internal procedures.
- Manage confidential legal and corporate information with the highest level of professionalism and discretion.
- Prepare legal opinions, governance reports, and Board papers as required.
- Perform other legal and company secretarial duties assigned by management.
Qualifications and Experience
- Bachelor of Laws (LLB) degree from an accredited institution.
- Qualification as a Professional Lawyer.
- Qualification as a Company Secretary.
- Full or partial ICSA/CGI (Chartered Governance Institute) qualification.
- Minimum of three (3) years’ relevant experience in a legal and company secretarial role.
- Demonstrated knowledge of corporate governance principles and company secretarial practice.
- Strong understanding of the Companies Act and other relevant regulatory frameworks.
- Proven experience in legal drafting, contract management, and corporate advisory services.
