The Opportunity

We are seeking an experienced and highly organized Legal Secretary to join our Legal team in Accra. In this role, you will provide essential corporate secretarial and governance support across multiple legal entities in Africa, working closely with business leaders and legal professionals.

You will contribute to critical governance and compliance initiatives, collaborate with cross-functional teams, and help strengthen Orica’s legal and corporate governance framework across the Europe, Middle East and Africa (EMEA) region.

Key Responsibilities

As Legal Secretary, you will:

  • Coordinate corporate governance activities and support legal entities across Africa to ensure compliance with statutory and regulatory requirements.
  • Prepare and maintain board and shareholder resolutions, meeting agendas, minutes, powers of attorney, and other corporate legal documents.
  • Maintain statutory registers, governance databases, and corporate records, ensuring all information remains accurate and up to date.
  • Liaise with government agencies, regulatory authorities, auditors, financial institutions, and internal stakeholders on legal entity administration and statutory filings.
  • Support governance audits, compliance reviews, director appointments, annual filings, and corporate secretarial projects across the region.
  • Monitor governance deadlines and ensure timely completion of statutory obligations.
  • Provide administrative support to the Legal team while maintaining confidentiality and professionalism at all times.

Qualifications and Experience

To succeed in this role, you should have:

  • A Bachelor’s degree in Law, Business Administration, Corporate Governance, Public Administration, or a related discipline.
  • Proven experience as a Legal Secretary, Company Secretarial Officer, Corporate Governance Officer, or in a senior administrative role supporting legal or governance functions.
  • Strong knowledge of corporate governance principles, statutory compliance requirements, and legal documentation.
  • Experience working within a multinational organization or a highly regulated business environment.
  • Excellent organizational and time management skills with strong attention to detail.
  • The ability to manage multiple priorities while meeting deadlines.
  • Excellent written and verbal communication skills in English.
  • Proficiency in Microsoft Office applications.
  • French language proficiency will be an added advantage.
