Job Summary
The Legal Services & Company Secretarial Manager will provide strategic legal advisory and corporate governance support to clients and internal teams. The successful candidate will lead company secretarial operations, manage legal and regulatory risks, and deliver high-level guidance on corporate and commercial legal matters while ensuring compliance with applicable laws and governance standards.
Key Responsibilities
- Provide high-level legal opinions and strategic guidance to engagement teams and clients across various industries.
- Lead the identification, assessment, and mitigation of legal and regulatory risks affecting client operations.
- Oversee company secretarial and governance activities to ensure compliance with statutory, regulatory, and reporting obligations.
- Advise clients on complex legal and governance matters to support informed business decision-making.
- Supervise the preparation and review of statutory filings, board papers, meeting minutes, and regulatory submissions.
- Maintain oversight of corporate records and ensure adherence to legal, regulatory, and ethical standards.
- Liaise with regulators, external legal counsel, and key stakeholders on governance and compliance matters.
- Provide leadership, mentorship, and technical guidance to junior team members.
- Support business development initiatives and contribute to client relationship management.
- Collaborate with clients to enhance governance structures, organisational transparency, and accountability.
Educational Requirements
- Bachelor’s degree in Law or a related field.
- Qualified and called to the Ghana Bar.
- Postgraduate qualifications and professional certifications such as the Chartered Governance Institute qualification are an advantage.
Qualifications & Experience
- 6–10 years of relevant experience in legal practice, corporate governance, or company secretarial functions.
- Proven leadership experience within a legal or corporate governance environment.
- Strong understanding of corporate law, foreign investment regulations, and governance frameworks in Ghana.
- Knowledge of laws and regulations including the GIPC Act, Technology Transfer Regulations, Free Zones regulations, and related industry frameworks.
- Experience managing complex and multi-jurisdictional legal and governance matters.
