Join Our Team

We are looking for an experienced and commercially minded Transaction Counsel to provide strategic legal support for infrastructure development and project finance transactions. This role offers an exciting opportunity to advise on complex transactions, ensure regulatory compliance, and contribute to the successful execution of high-impact projects.

Key Responsibilities

As the Transaction Counsel, you will:

  • Provide legal advice and support on infrastructure development and project finance transactions.
  • Draft, review, negotiate, and manage a wide range of commercial agreements and transaction documents.
  • Ensure compliance with applicable statutory, regulatory, and corporate governance requirements.
  • Advise management on legal risks and recommend practical solutions to support business objectives.
  • Support the structuring, negotiation, and execution of complex commercial transactions.
  • Conduct legal due diligence and provide legal opinions on investment and financing opportunities.
  • Manage commercial litigation matters and coordinate with external legal counsel where required.
  • Perform board secretarial duties, including preparing board documentation, maintaining statutory records, and ensuring compliance with governance requirements.
  • Monitor changes in relevant legislation and advise the organization on potential legal and regulatory implications.
  • Collaborate with internal and external stakeholders to facilitate successful project execution.

Qualifications and Experience

To be successful in this role, you should possess:

  • An LLB or BA Law degree together with a BL/Professional Law Certificate.
  • Admission to the Ghana Bar with a minimum of seven (7) years’ standing.
  • A minimum of seven (7) years of relevant post-qualification legal experience.
  • Proven experience in statutory and regulatory compliance.
  • Demonstrated experience advising on infrastructure development or project finance transactions.
  • Experience handling commercial litigation matters.
  • Experience performing board secretarial and corporate governance responsibilities.
  • Strong legal drafting, negotiation, analytical, and problem-solving skills.
  • Excellent communication, stakeholder management, and report-writing abilities.
