Position Summary
The Company Secretary will serve as a trusted governance advisor to the Board of Directors and Executive Management. The successful candidate will ensure compliance with statutory and regulatory requirements, promote best practices in corporate governance, manage Board and committee processes, and provide strategic legal and governance support to the organization.

Key Responsibilities
As Company Secretary, you will:
- Serve as the principal advisor to the Board of Directors on corporate governance matters and statutory obligations.
- Ensure compliance with all applicable legal, regulatory, and corporate governance requirements.
- Plan, coordinate, and manage Board, Board Committee, and Annual General Meeting activities, including preparing agendas, board papers, minutes, and resolutions.
- Maintain statutory registers, corporate records, and governance documentation in accordance with legal requirements.
- Provide timely governance and legal advice to the Board and Executive Management.
- Monitor changes in legislation, regulations, and governance practices, and recommend appropriate actions to ensure continued compliance.
- Coordinate the implementation of Board decisions and monitor the progress of governance-related action items.
- Develop, review, and strengthen governance policies, procedures, and frameworks.
- Support the Board in evaluating governance effectiveness and promoting best governance practices throughout the organization.
- Build and maintain effective relationships with regulators, external legal advisers, shareholders, and other key stakeholders.
- Ensure the organization consistently upholds the highest standards of ethics, integrity, transparency, and corporate accountability.
- Lead and support governance initiatives that enhance organizational performance and long-term sustainability.
Qualifications and Experience
The ideal candidate will possess:
- A Bachelor’s degree in Law (LL.B.) from a recognised institution.
- A Qualifying Certificate in Law (BL) and must be in good standing as a Barrister and Solicitor of the Republic of Ghana.
- A Certificate in Corporate Governance.
- Chartered Governance Professional (CGP) or Chartered Secretary qualification.
- Membership of a recognised corporate governance professional body, such as The Chartered Governance Institute.
- Recognised professional training in corporate governance.
- A minimum of 10 years’ post-call experience, including at least 5 years serving in an Executive Management role as a Company Secretary.

The successful candidate should demonstrate:
- Extensive knowledge of corporate governance principles, company law, and regulatory compliance.
- Strong understanding of Board governance frameworks and corporate secretarial practice.
- Excellent leadership, strategic thinking, and decision-making capabilities.
- Outstanding written and verbal communication skills.
- High levels of integrity, professionalism, discretion, and sound judgment.
- Exceptional organizational, planning, and stakeholder management skills.
- The ability to manage multiple priorities while maintaining accuracy and attention to detail.
- Strong interpersonal skills with the ability to engage effectively with Board members, senior executives, regulators, and external stakeholders.
