Job Summary
We are seeking an experienced and highly competent Company Secretary to support the Board in ensuring full compliance with the Companies Act, 2019 (Act 992) and other relevant legislation. The successful candidate will provide expert governance guidance, manage statutory obligations, and ensure effective corporate administration and board support functions.

Key Responsibilities
- Ensure compliance with the Companies Act, 2019 (Act 992) and the company’s constitution
- Advise the Board on statutory duties, responsibilities, and corporate governance requirements
- Ensure timely preparation and distribution of annual financial statements to entitled parties
- File all statutory forms, returns, and regulatory documents with the Registrar
- Keep the Board informed of legislative changes affecting company operations, meetings, and governance
- Ensure accurate recording and maintenance of minutes for Board and Shareholder meetings
- Organize and provide secretarial support for Board meetings, including documentation and follow-up actions
- Coordinate Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs), including notices, circulars, and reports
- Maintain statutory registers, including members, debenture holders, and charges over company assets
- Ensure proper corporate records management in line with legal requirements
- Perform any additional duties assigned by the Board in accordance with the law
Qualifications & Experience
- Must meet requirements under Section 211 of the Companies Act, 2019 (Act 992)
- Professional qualification or tertiary qualification in Law, Company Secretarial Practice, or a related discipline with company law exposure
- Membership in good standing with one of the following:
- Institute of Chartered Accountants, Ghana (ICAG), OR
- Qualified Barrister or Solicitor of the Republic of Ghana, OR
- Recognized professional body relevant to corporate governance
- Minimum of 2–3 years of experience as a Company Secretary or in a related governance role
- Proven ability to support Board-level operations and corporate compliance functions
- Strong understanding of company law, corporate governance, and regulatory frameworks
